Mr. Abdoul Karim SY is a professional management executive who has a wide background of business experience. Mr. SY has degrees in Technical Banking,Business Management, Marketing/Finance and studies in Petroleum Engineering and Geology. He has held key management positions with Many International Companies. He has also managed some oil & gas production companies in Nigeria, South Africa and United Kingdom. Abdoul Karim is widely travelled globally. Countries visited are many in Africa, Europe, Asia and the Americas. His Diplomatic background is an asset to his Corporate Assignments. Mr SY has penchant love for Information Technology, having taken courses of study to confirm his interests in same. He is a member of many Professional and International Organizations. He is also a Scholar, with numerous Scholarships to his credit. Abdoul Karim is Married and very resourceful.
Mr.Abdoul Karim SY responsibilities:
As a Group chief executive officer (CEO),he serves as the leader of the organization and its primary public representative, reporting to the board of directors. The CEO works in partnership with the board to ensure that the organization fulfills its mission and to create strategies that ensure its future success.
Functions: everything, especially in a startup. He is responsible for the success or failure of the company. Operations, marketing, strategy, financing, creation of company culture, human resources, hiring, firing, compliance with safety regulations, sales, PR, etc.—it all falls on Mr SY Abdoul Karim shoulders as GROUP CEO.
Collaborates with the board to define and articulate the organization’s vision and to develop strategies for achieving that vision.
Creates annual operating plans that support strategic direction set by the board and correlate with annual operating budgets; submits annual plans to the board for approval.
Develops and monitors strategies for ensuring the long-term financial viability of the organization
Develops future leadership within the organization.
Oversees the operations of organization and manages its compliance with legal and regulatory requirements

Jaclaw Zbigniew KOSMOWSKI
For forty years Mr KOSMOWSKI has worked for the Russian Federation in charge of the military security in the field of the energy and mainly for GAZPROM. Mr.KOSMOWSKI is experienced in all phases of oil and gas exploration including prospect generation, security and transportation, leasehold acquisition, drilling, completing and production.
Mr Kosmowski acts as the senior representative of shareholders and is responsible for upholding their interests.

For the Company’s employees, officers and directors, proper business conduct requires strict compliance with the spirit and the letter of the laws and regulations that apply to the Company’s business, but proper conduct means more than that. It means adherence to the highest business and personal ethics in dealings involving the Company or its reputation. The policies summarized in this booklet go beyond the strict requirements of the law. Although it cannot answer every question of conduct that may arise in the course of he Company’s business, this booklet should alert you to situations that may require extra caution, concern or guidance. It is also Company practice to encourage everyone to ask questions, seek guidance, and express any concerns they may have. - Is my action legal? If legal, is it also ethical? Are my actions honest in every respect?

- Would my supervisor act this way? Would it be helpful to ask my supervisor about this matter before act?
- Would I be proud to read about my action in the newspaper?
- Does the action violate Company policy?
- Is the action consistent with the Company’s values?
- What would I tell my child to do?
- Would I want to tell my parents or children about my action?

In addition, you may seek advice on a confidential basis by contacting the Company’s General Counsel or the Chairperson of the Nominating and Governance Committee of the Company’s Board of Directors. The Company expects these policies to be observed. It is not an excuse that questionable conduct is well- motivated or intended to “benefit” the Company. The Company may be exposed to significant civil and criminal penalties and the Company’s reputation may be severely damaged. In addition, violating certain standards in this booklet may subject such violator to personal fines and jail terms. In any event, violating the standards of business conduct outlined in this booklet may subject a violator to severe disciplinary action, up to and including immediate termination. This booklet, together with the related policies, procedures and educational efforts comprises the Company’s internal compliance program as contemplated by the Guidelines for corporations.
